With the government’s Report and Motion (BuA) regarding the amendment of the Persons and Companies Act (PGR) and the complete revision of the Merger-Participation Act (FMG) dated October 22, 2024 (No. 120/2024), the national implementation of Directive (EU) 2019/2121, which amends Directive (EU) 2017/1132 concerning cross-border conversions, mergers, and divisions, has been further advanced. These legislative changes expand the possibilities for cross-border corporate restructuring and relocations.
With the government’s Report and Motion (BuA) to Parliament dated November 5, 2024 (No. 148/2024), the legislative process for creating an Administrative Penal Code (VStG) and the accompanying complete revision of Liechtenstein’s administrative penalty procedures has been advanced. This ensures that complex administrative penalty procedures in the financial sector are based on a clear, understandable, and modern legal framework.
On March 10, 2025, the consultation period ended for the government’s planned amendments to various laws (AussStrG, JN, IPRG), aimed at establishing a domestic procedure to supplement foreign divorces or separations regarding the distribution of occupational pension-related entitlements. These legal amendments seek to prevent circumvention of Liechtenstein’s marital law provisions, as pension equalization often represents a significant financial asset accumulated during the marriage.
By decision of November 8, 2024 (06 HG.2023.56), the Princely Supreme Court affirmed the legal standing of a foundation advisory board in proceedings concerning amendments to the by-laws that could result in the loss of advisory board status or a reduction in the significance of this position.
